Terms & Conditions

Fitedash provides a cloud-based gym management platform that enables gyms, sports facilities, and activity-based businesses (“Clients”) to manage member registrations, subscriptions, attendance tracking, point-of-sale transactions, class scheduling, and related administrative functions.

Access to the Service is provided under the subscription plan agreed upon between the Client and Fitedash at the time of sign-up.

To use the Service, you must create an account and provide accurate, complete information. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your active subscription period.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

We may offer a free trial period at our discretion. During the trial, you will have access to the Service at no charge for the stated trial duration.

At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires. You will be notified in advance of when the trial ends and when billing begins.

Subscription fees are billed monthly in advance and are due on the agreed billing date. By subscribing, you authorize us to collect payment on the due date via the agreed payment method. Specific pricing details are provided at the time of sign-up or in your subscription agreement.

• Payment Methods. We accept payment via bank transfer, GCash, or other electronic payment channels as mutually agreed. Payment details are communicated separately.
• Price Adjustments. We aim to keep pricing stable. If we need to change our subscription fees, we will give you at least 30 days' written notice before any increase takes effect.
• Late Payments. If payment is not received within 14 days of the due date, we reserve the right to suspend your access to the Service. If payment remains outstanding after 30 days, we may terminate the account.
• Billing Disputes. If you believe an invoice contains an error, notify us in writing within 30 days of the invoice date. We will review all disputes in good faith and respond within 14 days.

• Cancellation. You may cancel your subscription at any time by contacting us at support@fitedash.app. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused time.
• Refunds. Fees paid are generally non-refundable. Exceptions may be made at our sole discretion for billing errors or prolonged Service outages directly caused by us.

• Support. We are committed to providing responsive support. If you encounter bugs or issues, we will make every reasonable effort to investigate and resolve them in a timely manner.
• Ongoing Improvements. We actively ship improvements, fixes, and new features. Your feedback shapes how the product evolves.
• Feature Requests. We welcome all feature requests but are not obligated to implement any specific feature on a particular timeline. Feature prioritization is at our sole discretion.
• Beta Features. Features released in beta or early access are provided as-is and without warranty. They may be modified or removed at any time.

Gym operators may invite staff members (e.g., front desk, trainers) to access the Service under their account. You are responsible for managing staff access permissions and for all actions taken by any user operating under your account, including staff.

You agree to ensure that all staff who access the Service are made aware of and comply with these Terms. We are not liable for any unauthorized actions taken by staff or other users you have granted access to your account. You should promptly revoke access for any staff member who leaves your organization or no longer requires access.

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property rights of any third party;
• Transmit malware, spam, or other harmful content;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service;
• Resell or sublicense access to the Service without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Service.

• Client Data. You retain all rights to the data you upload or generate through the Service (“Client Data”). You grant us a limited license to process Client Data solely to provide the Service.
• Member Data. As a gym operator, you are the data controller for your members' personal information. You are responsible for obtaining necessary consents and complying with applicable data protection laws, including the Republic Act No. 10173 (Data Privacy Act of 2012). As your data processor, we handle member personal information in accordance with RA 10173.
• Security. We implement industry-standard technical and organizational measures to protect Client Data. No transmission over the internet is 100% secure; you accept the remaining risk.
• Data Deletion. Upon termination, you may request an export of your Client Data within 30 days. After that window, we may permanently delete all associated data.

Both parties agree to keep the other's non-public business, technical, financial, or operational information strictly confidential, and to use it only for the purpose of fulfilling obligations under these Terms. These obligations survive termination for three (3) years.

The Service, including all software, designs, trademarks, and content provided by Fitedash, is our exclusive property and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. Any feedback or suggestions you provide may be used by us without restriction or compensation.

We strive to maintain high availability of the Service. Scheduled maintenance will be communicated in advance where practicable. We do not guarantee uninterrupted or error-free operation. Our sole obligation in the event of a material outage is to use commercially reasonable efforts to restore the Service in a timely manner.

To the extent permitted by applicable law, Fitedash shall not be liable for any indirect, incidental, consequential, or punitive damages — including lost revenue, lost data, or business disruption — arising from your use of the Service, even if we were advised of the possibility of such damages. In the event of a valid claim, our total liability will not exceed the fees you paid in the three (3) months preceding the incident.

The Service is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

You agree to indemnify, defend, and hold harmless Fitedash and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your Client Data, your violation of these Terms, or your violation of any third-party rights.

• Term. These Terms remain in effect for the duration of your subscription and any subsequent renewal periods.
• Termination for Cause. Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving notice.
• Effect of Termination. Upon termination, your access to the Service will cease. You may request an export of your Client Data within 30 days, after which we may delete it. Sections 10, 11, 12, 14, 15, 16, and 18 survive termination.

These Terms shall be governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, the parties agree to submit the dispute to the proper courts of the Philippines.

We reserve the right to update these Terms at any time. We will notify you of material changes at least 14 days before they take effect via email or another agreed communication channel. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

• Entire Agreement. These Terms constitute the entire agreement between you and Fitedash regarding the Service and supersede all prior discussions or arrangements.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure. Neither party shall be liable for delays caused by events beyond their reasonable control, including natural disasters, internet outages, or government actions.
